Articles of Association

Articles of Association, also referred to as Articles of Incorporation, are the basic law or the constitution of a joint-stock company. They stipulate the fundamental legal principles of the corporation for internal and external purposes within the framework of the law.

Corporate Bylaws

Under Swiss company law, the board of directors is the governing body that manages the business of the company unless it delegates such function to a management board. If the management is delegated, then this has to be based on an organisational regulation, usually referred to as corporate bylaws. These define the organisational structure, the responsibilities of the board of directors, board committees, the executive management and the reporting procedures. Corporate bylaws are, therefore, a key regulation in respect of corporate governance. Given their significance, Swiss Re’s Corporate Bylaws are reviewed periodically by both the Governance Committee and the Board of Directors for compliance with domestic and international laws, regulations and best practice standards.

Code of Conduct

The Code of Conduct expresses our core principles and values in professional business conduct, and provides assistance in recognising, understanding and complying with the laws and ethical standards that govern our business activities.

Group Guidelines

Group Guidelines are documents containing advice, commands, directions, directives, instructions, limits, orders, policies, principles, procedures, requirements, rules and strategies valid throughout the Group, issued either by the Executive Committee or one of the Group committees. The Group Guidelines are subdivided into the following categories:
